Terms of Use

Last updated: 22 September 2026

These Terms of Use ("Terms") govern access to and use of KADAI by IZIRA ("KADAI", "we", "us" or "our"), including kadaiku.online, merchant dashboards, merchant storefronts, private customer status pages and related services.

By creating a KADAI account, operating a KADAI storefront, placing an order or booking through a KADAI storefront, or otherwise using KADAI, you agree to these Terms to the extent they apply to you. If you use KADAI for a business, you confirm that you have authority to agree to these Terms for that business.

1. What KADAI provides

KADAI is a Brunei-first storefront and business-operations platform for independent sellers, service providers, home businesses, runners and individual transport providers. Depending on the merchant's setup and plan, KADAI may support products, stock, preorders, customer records, appointments, capacity, transport, rentals / hire, manual payment workflows, costing tools, messaging and related operations.

KADAI provides technology. Unless KADAI expressly states otherwise for a specific service, KADAI is not the seller, service provider, runner, driver, bank, payment processor or employer in transactions between a merchant and its customer. The merchant remains responsible for the goods or services it offers.

2. Accounts and eligibility

To operate a merchant account, you must:

  • provide accurate account and business information;
  • keep your login credentials secure and promptly notify us if you suspect unauthorised access;
  • have authority to operate the business represented on the account;
  • comply with laws, licences, permits, tax, consumer-protection and other obligations that apply to your business;
  • keep product, service, price, availability, fulfilment, payment and contact information reasonably accurate.

One user may operate more than one business where supported. You must not attempt to access another merchant's data, bypass tenant boundaries, defeat plan entitlements or interfere with KADAI's security controls.

3. Merchant-customer relationship

Orders, bookings, preorder requests, transport/runner requests and rental requests made through a merchant's KADAI storefront create a direct commercial relationship between that merchant and the customer. The merchant is responsible for accepting, rejecting, fulfilling, rescheduling, cancelling, refunding and supporting its transactions, subject to applicable law and the merchant's disclosed policies.

Merchants should clearly communicate applicable prices, availability, delivery/pickup arrangements, cancellation terms, refund rules, service limitations and any other material conditions before or during the transaction.

4. Customer responsibilities

Customers are responsible for providing accurate contact, delivery, booking, passenger, rental and transaction information, following the merchant's payment and fulfilment instructions, and protecting private order, booking or transport links they receive.

Customers should contact the relevant merchant first about fulfilment, refunds, product quality, service quality or transaction-specific issues unless the issue concerns KADAI account security or the KADAI platform itself.

5. Manual payments, QR instructions and receipts

KADAI supports merchant-configured manual payment workflows, including bank-transfer details or payment-QR instructions, and may allow customers to upload payment proof. KADAI does not independently verify that a bank transfer or other off-platform payment occurred and does not hold or settle customer funds in these workflows.

The merchant is responsible for reviewing payment proof and deciding whether to approve or fulfil the transaction. No user may use KADAI to request or collect bank passwords, PINs, one-time codes or other online-banking login credentials.

6. Plans and standard pricing

KADAI's current standard plans are:

  • Free — BND 0.
  • Starter — BND 18/month or BND 180/year.
  • Pro — BND 39/month or BND 390/year.

Current plan features, usage limits and entitlements are described on the KADAI pricing page and inside the merchant dashboard. Plan descriptions may include limits or eligibility for orders, preorders, advanced availability, inventory/costing, automation, exports, custom domains, branding controls and other capabilities. Rental / hire features may also include item availability, quantity, duration pricing, security deposits, item-specific rental terms and private document collection where configured.

7. Founding Merchant offer

KADAI may offer a limited Founding Merchant rate to the first approved businesses in an eligible plan. The current launch offer is limited to the first 10 approved Starter businesses and first 10 approved Pro businesses.

  • Starter founding rate: BND 10/month for the first 6 months, or BND 100 for the first annual term.
  • Pro founding rate: BND 24/month for the first 6 months, or BND 240 for the first annual term.

A founding slot is consumed only when the relevant payment/upgrade request is approved. Unpaid or rejected requests do not consume a slot. Once consumed, a founder slot does not reopen because a merchant later cancels, expires, deletes an account or forfeits the founder rate.

Founding rates are temporary launch rates, not lifetime discounts. After the founder period ends, subsequent renewals use the then-current standard price for the applicable plan unless KADAI expressly agrees otherwise.

8. Upgrades, renewals and plan expiry

Paid-plan upgrades and renewals are handled manually in the current version of KADAI. A paid feature becomes available only after the relevant request/payment is approved and the plan is activated. KADAI does not currently rely on an automatic recurring-card charge for these plan renewals.

Starter and Pro plans currently have a three-full-day overdue grace period. If a renewal is overdue beyond that period and no renewal payment request is pending, KADAI may return the business to the Free plan. A plan downgrade changes entitlements; it does not by itself delete merchant business data or automatically deactivate the storefront.

Changing plan, cancelling use or allowing a plan to expire does not create an automatic entitlement to a refund, credit or extension except where required by law or expressly agreed by KADAI.

9. Product features and availability

Some KADAI features depend on business type, plan, configuration, third-party availability or staged rollout. A feature shown in development materials, screenshots, roadmap discussions or a feature request is not guaranteed to be available to every merchant.

Where KADAI labels a feature as preview, experimental, beta, limited, eligibility-based or "as available", you should expect it may change, be unavailable at times, or require additional setup.

10. Preorders, appointments and capacity

KADAI may help merchants organise preorder campaigns, opening/closing windows, collection periods, appointment availability, service duration, buffers, blocked time, deposits, capacity and rescheduling. Merchants remain responsible for configuring these rules accurately and for honouring any commitments made to customers.

KADAI does not guarantee that a merchant can fulfil every accepted preorder or booking, and customers remain subject to the merchant's disclosed availability and cancellation terms.

11. Transport, runners and private passes

Transport and runner features may support quotes, pickup/destination details, recurring schedules, Parent Passes, driver assignment, journey status, proof of fulfilment and, where enabled, live driver-location sharing.

Merchants and drivers are solely responsible for legal authorisation, vehicle condition, insurance, licences, passenger safety, route decisions and the actual transport/runner service. KADAI does not supervise a trip in real time and does not guarantee driver identity, road conditions, arrival time or service safety.

Private transport, Parent Pass and tracking links should be shared only with the intended customer, parent, guardian or recipient.

12. Rentals and KADAI SEWA

KADAI SEWA may support rental or hire listings such as vehicles, property or spaces, furniture and equipment. Merchants may configure availability, quantities, rental duration, pricing units, security deposits, collection, delivery or check-in arrangements, and item-specific terms and conditions.

Where a merchant provides rental terms, a customer may be required to confirm those terms before sending a rental request. KADAI may retain a snapshot of the terms accepted for that booking and the acceptance time. Merchant terms do not replace rights or obligations that apply under law.

A merchant may request documents reasonably needed for a rental, such as identity or driving-licence documents. Customers should upload only documents specifically requested for the booking through the private rental status flow where available. Merchants are responsible for requesting only information they reasonably need, protecting it appropriately and complying with applicable privacy and rental obligations.

KADAI provides the booking and record-keeping technology but is not the owner, lessor, insurer, property manager or guarantor of a rental item. The merchant remains responsible for the item, its condition, legal suitability, insurance, deposits, inspections, handover, returns, damage decisions and refunds.

13. Inventory, costing and profit estimates

KADAI may provide inventory, supplier-purchase, landed-cost, wastage, material, recipe/batch and margin tools. Calculations depend on merchant-entered values and available system data. Cost, replacement-cost, gross-profit, margin and similar figures are estimates for operational use and may be incomplete, outdated or affected by tax, wastage, labour, overhead or other costs the merchant has not entered.

Shared ingredient or supply-price features, where enabled, may contain retailer-listed, KADAI-verified or merchant-reported observations. KADAI does not guarantee that a shared price is current, available, complete or suitable for a merchant's purchasing decision.

14. Feature requests and product feedback

Merchants may submit feature ideas, descriptions, reference links and attachments. Submitting a request does not create a promise, contract, priority, delivery date, plan entitlement or payment obligation.

You keep ownership of original material in your submission, subject to third-party rights. You grant KADAI a non-exclusive permission to review, store, reproduce internally and use the ideas and information in the request for evaluating, designing, testing and improving KADAI without an obligation to compensate you or make the resulting feature exclusive to your business.

15. WhatsApp, support tools and third-party services

KADAI may provide manual WhatsApp links and, for eligible plans, connections to the official WhatsApp Business Platform. Merchants are responsible for obtaining any required consent or opt-in and for complying with applicable messaging rules.

KADAI also relies on or may connect to third-party services such as Supabase, Lovable, Meta/WhatsApp, routing, email, support/chat and monitoring providers. Those services have their own terms and policies, and their availability is outside KADAI's complete control.

16. KADAI Assistant and automated information

KADAI may provide automated assistant, help or suggestion features. Automated answers may be incomplete, simplified, outdated or incorrect and should not be treated as a definitive statement of your account, a merchant's transaction status or professional advice.

For account-specific issues, plan approval, payment disputes or other important matters, use the relevant merchant or KADAI support channel instead of relying solely on an automated response.

17. Acceptable use

You must not use KADAI to:

  • break the law or facilitate fraud, deception, harassment, exploitation or abuse;
  • sell, advertise or arrange prohibited, illegal or unlawfully regulated goods or services;
  • infringe intellectual-property, privacy, publicity or other rights;
  • upload malicious code, interfere with service operation, probe security controls or attempt unauthorised access;
  • misrepresent identity, business ownership, product/service information, pricing, availability, payment status or customer communications;
  • collect unnecessary sensitive information or use KADAI to obtain passwords, PINs, one-time codes or bank-login credentials;
  • scrape, copy, reverse engineer or exploit KADAI in a way that unlawfully or materially harms the service or other users.

We may restrict or suspend access where reasonably necessary to address security, abuse, legal risk, non-payment of an approved paid plan or material breach of these Terms.

18. Merchant content and intellectual property

Merchants keep ownership of content they upload, such as business names, logos, product photographs, descriptions and other original material, subject to third-party rights. You grant KADAI a limited, non-exclusive licence to host, process, resize, display and transmit that content as reasonably necessary to provide, secure and operate the service.

KADAI, its software, product design, brand assets, logos and original platform content are owned by or licensed to IZIRA and are protected by applicable intellectual-property laws. These Terms do not transfer ownership of KADAI technology or branding to users.

19. Privacy and data

Our Privacy Policy explains how KADAI handles personal data. Merchants remain responsible for their own privacy obligations when they decide how customer information will be used for their business, including exports, external messaging or records kept outside KADAI.

20. Service availability and changes

We work to keep KADAI available and reliable, but do not guarantee uninterrupted or error-free access. Maintenance, internet failures, third-party outages, security incidents, browser/device limitations or other circumstances may interrupt features.

We may modify, improve, replace, limit or discontinue features where reasonably necessary. Where a change materially affects an active paid service, we will take reasonable account of the circumstances and any rights that cannot lawfully be excluded.

21. No professional advice

Dashboards, forecasts, margin estimates, pricing observations, assistant responses, templates and other KADAI information are operational tools and do not constitute legal, tax, accounting, financial, medical, safety or other professional advice. Merchants remain responsible for their decisions and should obtain professional advice where appropriate.

22. Disclaimers

To the maximum extent permitted by law, KADAI is provided on an "as is" and "as available" basis. We do not warrant the quality, legality, safety or suitability of a merchant's goods or services, the identity or conduct of a customer, the accuracy of merchant-entered information, or the successful completion of a merchant-customer transaction.

Nothing in these Terms excludes rights, guarantees, remedies or liabilities that cannot lawfully be excluded.

23. Limitation of liability

To the maximum extent permitted by law, KADAI and IZIRA will not be liable for indirect, incidental, special, consequential or punitive loss, or for loss of profits, revenue, goodwill, data or business opportunity arising from use of KADAI.

KADAI is not responsible for loss caused by a merchant or customer, off-platform bank-transfer errors, inaccurate user-supplied information, third-party services, driver/transport conduct, merchant fulfilment failures or events outside our reasonable control. Where liability cannot be excluded, it will be limited only to the extent permitted by applicable law.

24. Merchant responsibility and indemnity

To the extent permitted by law, a merchant agrees to be responsible for claims, losses and reasonable costs arising from the merchant's products or services, unlawful use of KADAI, breach of these Terms, infringement of another person's rights or the merchant's failure to comply with applicable business obligations, except to the extent caused by KADAI's own breach or unlawful conduct.

25. Suspension, termination and account changes

You may stop using KADAI at any time. We may suspend or terminate access for material breach, security, abuse or legal reasons, or where continued provision is not reasonably possible. Where appropriate, we will try to provide notice and a reasonable opportunity to address a remediable issue.

Termination or plan downgrade may limit access to paid features. It does not automatically require KADAI to delete records that must or may reasonably be retained for security, accounting, dispute-resolution or legal purposes. Data handling after account changes remains subject to the Privacy Policy and applicable law.

26. Changes to these Terms

We may update these Terms as KADAI develops or legal requirements change. We will update the "Last updated" date and, where appropriate, provide additional notice of material changes. Continued use after revised Terms take effect means you accept the revised Terms, except where applicable law requires another form of consent.

27. Governing law

These Terms are governed by the laws of Brunei Darussalam, without prejudice to mandatory rights that apply under another law. Subject to any mandatory dispute-resolution rights, disputes relating to these Terms or KADAI will be submitted to the courts of Brunei Darussalam.

28. Contact

Questions about these Terms may be sent to IZIRA at support@kadaiku.online.
